Content License Agreement

Effective Date: July 28, 2026

1. Introduction

This RozStock Content License Agreement (“Agreement”) is entered into between RozStock Digital Media and Technology Services, headquartered in Diyarbakır, Türkiye (“RozStock”), and the natural or legal person who purchases or licenses photographs, videos, video templates, graphics, graphic templates, vectors, audio, music, sound effects, or other digital content from the RozStock platform (“Licensee”).

By downloading, purchasing, using under a subscription, or otherwise accessing any content from the RozStock platform, you are deemed to have accepted all provisions of this Agreement.

2. Definitions

Content

Refers to photographs, videos, premium videos, video templates, graphics, vectors, illustrations, PSD files, audio files, music, sound effects, and other digital media files offered on RozStock.

Premium Content

High-quality content designated by RozStock as part of a special collection.

Editorial Content

Photographs and videos that may be used only for news, commentary, education, documentary, or public-interest purposes.

Standard License

The basic license type that includes the usage rights specified in Section 5 of this Agreement.

Extended License

The paid license type that includes the additional usage rights specified in Section 6 of this Agreement.

Subscription

A membership model that provides the right to download content for a specified period.

3. Nature of the License

All licenses provided by RozStock are:

Non-exclusive
Non-transferable
Non-sublicensable
Valid worldwide
Perpetual

The Licensee acquires only a right of use.

4. Permitted Uses

The Licensee may use Content in the following areas:

Websites
Blogs
Social media accounts
YouTube and similar video platforms
Digital advertising campaigns
Corporate presentations
Mobile applications
Television broadcasts
Educational materials
Printed advertising materials
Magazines and newspapers
E-books

Color adjustments, resizing, cropping, editing, and montage of Content are permitted.

5. Standard License

The Standard License includes the following rights:

Unlimited web display
Social media use
Digital advertising use
Mobile application use
Use in video productions
Corporate promotional works
Up to 500,000 physical print copies

The following uses are prohibited under the Standard License:

Resale products
Printed product sales
T-shirt, mug, or poster production
Template sales
NFT sales
Distribution of Content as a standalone file

6. Extended License

The Extended License provides the following additional rights:

Unlimited print runs
T-shirt sales
Mug sales
Poster sales
Print-on-demand systems
Digital template sales
Use in corporate products
Unlimited commercial distribution

Even under an Extended License, resale of Content as a raw file is not permitted.

7. Premium Content

Premium Content may be used only within the scope of the applicable license type.

RozStock reserves the right to establish additional usage terms for certain Premium Content.

8. Editorial Content

Content marked “Editorial Use Only” may be used in:

News websites
Newspapers
Magazines
Documentaries
Educational content

Editorial Content may not be used in:

Advertisements
Sponsored content
Product promotions
Commercial promotions

9. Prohibited Uses

The Licensee may not engage in the following uses:

9.1 Distribution of Content as a Raw File

Content may not be:

Resold
Rented
Relicensed
Distributed free of charge
Uploaded to another stock media platform
Made available to third parties in a downloadable format

9.2 Brand and Commercial Identity Use

RozStock Content may not be used as:

A logo
A trademark
A service mark
A corporate identity element

No Content may be used alone or as a dominant element for trademark registration.

9.3 Unlawful Uses

Content may not be used in the following areas:

Pornographic publications
Obscene content
Racist or discriminatory content
Hate speech
Incitement to violence
Terrorist propaganda
Illegal activities
Fraudulent activities
Defamatory content

9.4 Sensitive Uses

Content featuring models requires a clear disclaimer when used in the following areas:

Health conditions
Psychological disorders
Sexual health topics
Crime reporting
Addiction-related content
Political content

Example statement: “Stock image. Posed by model.”

10. Artificial Intelligence (AI) Usage Policy

10.1 Prohibition on AI Training

RozStock Content may not be used for:

Artificial intelligence training
Machine learning
Dataset creation
Training of image generation models
Training of audio generation models

10.2 Prompt and Reference Images

The user is responsible for:

Copyright infringements
Trademark infringements
Personality rights infringements

arising from reference images uploaded by the user.

10.3 AI-Generated Content

Content marked by RozStock as “AI Content” may:

Be labeled differently from human-created content
Be subject to separate license terms
Include additional usage restrictions

11. Audio, Music, and Sound Effect Licenses

11.1 General Use

Music and sound effects may be used in:

Video projects
Advertisements
Podcast broadcasts
Mobile applications
Games
Television productions

11.2 Prohibited Uses

Music and sound effects may not be:

Resold on their own
Distributed as a music library
Used to create a sound bank
Sold as NFTs

11.3 Theme Music Restriction

Unless otherwise stated, no musical work may be exclusively claimed as:

A company anthem
A brand jingle
Permanent theme music

12. Subscription System

12.1 Subscription Licenses

Content downloaded under a subscription may be downloaded only during the active subscription period.

Usage rights for Content downloaded during the subscription period continue in accordance with the provisions of this Agreement.

12.2 Account Sharing

Subscription accounts may not be:

Shared
Sold
Transferred

RozStock reserves the right to suspend accounts where account sharing is detected.

12.3 Enterprise Accounts

Under enterprise subscriptions, users within the same legal entity may access Content.

13. Copyright Infringement Notice

RozStock evaluates rights holders’ requests under:

DMCA
Applicable data protection legislation
the Turkish Law on Intellectual and Artistic Works,
International copyright legislation

The rights holder must provide:

Full name or organization details
A description of the infringing Content
Documents demonstrating ownership
Links to the infringement

RozStock may remove Content without prior notice where it deems necessary.

14. Content Withdrawal

RozStock may remove any Content due to:

Copyright dispute
Legal risk
Technical error
Internal policy change

In such cases, RozStock may require you to:

Stop using the Content
Delete copies
Accept substitute Content where offered

15. Contributor Rights

RozStock acts only within the scope of its licensing and distribution authority.

Contributors may request removal of their works from the platform.

However, licenses already granted remain valid.

16. Representations and Warranties

16.1 RozStock’s Representations

To the extent reasonably known to RozStock, RozStock represents that it:

Has the authority to distribute and license the licensed Content
Has ensured Content is uploaded in compliance with applicable law
Has entered into the necessary agreements with Contributors

However, RozStock does not warrant that Content is:

Error-free
Suitable for a particular purpose
Continuously accessible
Free from third-party claims

16.2 User Representations

The user represents and warrants that they will:

Use Content only as specified in this Agreement
Comply with local and international legislation
Not infringe the rights of third parties

17. Limitation of Liability

RozStock shall not be liable for:

Loss of profit
Loss of data
Loss of business
Indirect damages
Special damages
Consequential damages

RozStock’s total liability shall in no event exceed twice the purchase price of the relevant Content or the total fees paid by the user to RozStock in the preceding 12 months, whichever is greater.

This limitation shall apply to the fullest extent permitted by applicable law.

18. Indemnification

The user agrees to indemnify RozStock for damages arising from:

Breach of this Agreement
Unlawful use of Content
Third-party rights infringements
Trademark and copyright infringements

This includes:

Attorney fees
Court costs
Arbitration costs
Settlement amounts

19. Payments and Billing

19.1 Pricing

RozStock may offer services through:

Individual content sales
Credit systems
Monthly subscriptions
Annual subscriptions
Enterprise subscriptions

19.2 Taxes

All prices are subject to applicable tax legislation unless otherwise stated.

The user is responsible for tax obligations in their own country.

19.3 Refunds

Refunds are generally not provided for downloaded digital Content.

However, RozStock may review requests in the following cases:

Corrupted file
File could not be downloaded
Incorrect file delivered
Technical error preventing use

20. Subscription Renewal and Cancellation

Subscriptions may renew automatically unless otherwise stated.

The user may cancel a subscription from the account panel.

A cancelled subscription remains active until the end of the current billing period.

No new charge will be collected at the end of the period.

21. Privacy and Data Protection

RozStock protects user data in accordance with:

the Turkish Personal Data Protection Law No. 6698 (KVKK),
the EU General Data Protection Regulation (GDPR) where applicable,
Electronic Commerce legislation

Details regarding the processing of personal data are set out in the RozStock Privacy Policy.

22. Force Majeure

RozStock shall not be liable for events beyond its reasonable control, including:

Natural disasters
Earthquakes
Fires
War
Terrorist incidents
Cyberattacks
Power or internet infrastructure outages
Government authority decisions

23. Assignment

The user may not assign rights under this Agreement to third parties.

RozStock may assign this Agreement to affiliated companies or successors in cases of:

Merger
Demerger
Investment
Sale of the company

24. Termination

RozStock may suspend or close an account in the following cases:

License violation
Copyright infringement
Account sharing
Suspected fraud
Failure to meet payment obligations

Upon termination, the user must:

Stop using Content
Delete raw files
End uses that constitute license violations

25. Governing Law and Jurisdiction

This Agreement is governed by the laws of the Republic of Türkiye.

Disputes between the parties shall first be resolved amicably.

If no resolution is reached, the courts and enforcement offices of Diyarbakır shall have exclusive jurisdiction.

26. Severability

If any provision of this Agreement is held invalid, the remaining provisions shall remain in effect.

The invalid provision shall be deemed replaced by the valid provision closest to the parties’ intent.

27. Entire Agreement

This Agreement, together with the Terms of Service, Privacy Policy, Cookie Policy, Contributor Agreement, and other RozStock policies, constitutes the entire agreement between the parties.

28. Effectiveness

This Agreement enters into force when the user views, downloads, purchases, or uses subscription services for any Content.

29. Enterprise and Multi-User Licenses

29.1 Enterprise License

Enterprise licenses may allow employees of a company, institution, or organization to use Content within the scope of organizational activities.

The scope of an enterprise license is determined by:

the license plan,
the number of licensed users,
enterprise contract terms.

29.2 Group Companies

Unless otherwise stated, an enterprise license applies only to the licensed legal entity.

Separate licenses may be required for affiliates, subsidiaries, or group companies.

29.3 Client Work

Agencies and freelancers may use Content on behalf of clients.

In such cases:

Final usage rights may be transferred to the client,
raw files of Content may not be distributed to the client,
a separate license may be required for each client project.

30. Social Media and Digital Platform Use

Content may be used on:

YouTube
Vimeo
TikTok
Instagram
Facebook
LinkedIn
X
Twitch
Podcast platforms

and similar platforms.

RozStock is not responsible for removal, blocking, or loss of revenue arising from platform content policies.

31. NFT, Blockchain, and Web3 Use

Unless expressly permitted in writing, Content may not be:

Minted as NFTs
Tokenized
Sold as an ownership product on a blockchain
Redistributed in cryptocurrency projects

Where RozStock offers a separate NFT license, special terms may apply.

32. Metaverse and Virtual Environment Use

Content may be used within:

Metaverse projects
VR applications
AR applications
Virtual events
Digital exhibitions

However, extraction or redistribution of Content as standalone files is not permitted.

33. API and Automated Access

Where API access is provided by RozStock, it is subject to separate terms of use.

The user may not engage in:

Data scraping
Bulk downloading
Content copying
Use of robots or bots
Automation that increases system load

RozStock may limit or terminate API access where it deems necessary.

34. Security and Abuse Prevention

RozStock may use monitoring systems regarding:

Account security
License violations
Fraudulent activity
Suspicious access

RozStock may temporarily suspend accounts in the following cases:

Suspicious sessions
Unauthorized use
Suspected license violation
Payment security risk

35. Audit Rights

RozStock may request usage information from the user to verify license compliance to a reasonable extent.

The user agrees to provide, within a reasonable time:

License records
Usage examples
Download history

36. Export Controls and Sanctions

The user agrees not to engage in activities contrary to sanction and export control regulations imposed by:

the United Nations,
the European Union,
the United States of America,
the Republic of Türkiye.

RozStock may refuse to provide services to persons or organizations on sanctions lists.

37. Electronic Evidence Agreement

The parties agree that the following constitute conclusive evidence:

System records
Server logs
License records
Order records
Electronic correspondence

and other digital records.

38. No Waiver

Failure or delay by RozStock in exercising any right shall not constitute a waiver of that right.

39. Language and Interpretation

If this Agreement is translated into other languages and a discrepancy arises in interpretation, the Turkish text shall prevail.

40. Updates and Changes

RozStock may update this Agreement due to:

new license types,
new content categories,
technological developments,
legal requirements.

Material changes may be communicated to users by reasonable means.

41. Reserved Rights

All rights not expressly licensed remain with:

the Contributor,
the rights holder,
RozStock.

No right not expressly stated in this Agreement shall be deemed transferred to the user.

42. Classification and Labeling

RozStock may establish categories such as:

Premium
Editorial
AI-Generated
Exclusive
Enterprise Use
Archive Content

Additional usage terms may apply to these categories.

43. Final Provision

This License Agreement, together with:

the Terms of Service,
the Privacy Policy,
the Cookie Policy,
the Contributor Agreement,
the DMCA / Copyright Infringement Policy,
other RozStock policies and procedures,

forms the comprehensive legal framework of the RozStock ecosystem.
