1. Introduction
These Terms of Use (“Agreement”) set out the terms and conditions governing use of the RozStock digital content platform’s website, mobile applications, API services, software, subscription systems, digital products, and all related services.
RozStock is operated by Gondwana E-Ticaret, Bilişim, Araştırma, Organizasyon, Prodüksiyon, Teknoloji, Danışmanlık, Pazarlama ve Sanayi Limited Şirketi (“Gondwana LTD.” or “RozStock”).
Anyone who visits the Platform, creates an account, uploads content, purchases, downloads, shares, views, uses the API, or otherwise uses any service offered by the Platform represents that they have read, understood, and accepted all provisions of this Agreement.
This Agreement is a binding contract formed electronically.
2. Acceptance of Terms
By using the Platform, you accept:
- these Terms of Use,
- the License Agreement,
- the Contributor Agreement,
- the Privacy Policy,
- the KVKK Disclosure Notice,
- the GDPR Notices,
- the Cookie Policy,
- the DMCA and Copyright Infringement Policy,
- the Subscription and Payment Policies,
- the API Terms of Use,
- and all other policies and rules published on the Platform.
Together, these documents form the legal framework of the RozStock Platform.
3. Binding Nature of the Agreement
Using the Platform, creating an account, or using any service means that this Agreement becomes binding on you.
If you do not accept this Agreement, you must not use the Platform.
RozStock reserves the right not to provide services where this Agreement has not been accepted.
4. Scope
This Agreement covers all of the following services:
- Website
- Mobile applications
- API services
- Enterprise solutions
- Digital content archive
- Photographs
- Videos
- Drone footage
- Editorial content
- Premium content
- AI-generated content
- Vectors
- Illustrations
- Graphic designs
- PSD files
- Templates
- Presentation files
- Sound effects
- Music
- 3D content
- All services that may be offered in the future
5. Priority of Agreements
Where a separate special agreement has been prepared for a particular service—for example:
- License Agreement
- Contributor Agreement
- Enterprise API Agreement
the applicable special agreement prevails.
These Terms of Use continue to apply to matters not addressed in the special agreement.
6. Definitions
In this Agreement:
RozStock
The digital media licensing platform operated by Gondwana LTD.
Platform
Means RozStock’s website, mobile applications, API services, and all digital services.
User
A natural or legal person who visits or uses the Platform.
Customer
A user who purchases or licenses content through RozStock.
Contributor
A person or organization that uploads digital content to the Platform.
Content
Photographs, videos, editorial content, music, sound effects, illustrations, vectors, graphics, PSDs, 3D models, templates, and all other digital files available on the Platform.
Premium Content
Content that is priced differently from standard content or is subject to special license conditions.
Editorial Content
Content offered for news, documentary, educational, or public-interest purposes, with commercial use restricted.
License
A right of use granted by RozStock to the user under specified conditions.
Subscription
A paid service that provides the right to download or use content for a defined period.
API
An application programming interface that provides programmatic access to RozStock services.
AI Services
Means generative artificial intelligence tools offered by RozStock or that may be offered in the future.
7. Platform Ownership
The Platform as a whole—including:
- its software,
- database,
- design,
- user interface,
- algorithms,
- search engine,
- brand elements,
- logos,
- source code,
- graphic designs,
- data organization,
- collection structure,
- metadata,
- and documentation,
and all related intellectual and industrial property rights belong to RozStock or the relevant rights holders.
No right not expressly granted in this Agreement is deemed transferred to the user.
8. Reservation of Ownership Rights
No element on the Platform is deemed to have been:
- sold,
- transferred,
- assigned,
- or placed in the public domain.
The user obtains only a limited right of use under the applicable license.
9. Changes to Services
RozStock reserves the right, without prior notice, to change, suspend, remove, or add:
- the appearance of the Platform,
- technical infrastructure,
- subscriptions,
- prices,
- download limits,
- features,
- license types,
- content categories,
- API functions,
- AI services.
10. Updates
RozStock may update this Agreement whenever it deems necessary.
Material changes may be announced through the Platform or other appropriate communication channels.
Continued use of the Platform after an update means that the new terms have been accepted.
11. Electronic Contract
This Agreement is formed electronically.
Electronic acceptance, checking a box, creating an account, completing a purchase, or continued use of the Platform has the same legal effect as a written signature.

In case of conflict, special agreements prevail.
13. Account Creation
13.1
You may need to create a user account to use certain RozStock services.
13.2
All information you provide when creating an account must be accurate, complete, and current.
13.3
Accounts created with false, misleading, or fabricated information may be suspended or permanently closed by RozStock.
13.4
Where RozStock deems necessary, it may request identity, address, company information, tax number, or other verifying documents.
13.5
Creating an account does not mean that RozStock will accept every application. RozStock reserves the right to refuse an account application without stating a reason.
14. Age and Legal Capacity
14.1
To use the Platform, you must have the legal capacity under the laws of your country to enter into a binding contract.
14.2
Minors may use the Platform only under the supervision and with the consent of their legal representatives.
14.3
Persons creating enterprise accounts represent and warrant that they are authorized to act on behalf of the relevant company or organization.
15. Accuracy of Account Information
The user accepts that all information submitted to the Platform is accurate, including:
- first name,
- last name,
- company information,
- email address,
- phone number,
- billing information,
- tax information.
Keeping information current is the user’s responsibility.
16. Account Security
16.1
The user is obliged to keep confidential all account credentials, including:
- username,
- password,
- verification codes,
- API keys,
- access tokens,
- session information.
16.2
All activity carried out through the account is deemed to have been performed by the user. The user must notify RozStock immediately upon becoming aware of unauthorized use of the account.
16.3
RozStock is not responsible for account security breaches resulting from the user’s negligence.
17. Non-Transferability of Accounts
User accounts are personal.
Unless expressly permitted otherwise, an account may not be:
- sold,
- rented,
- lent,
- transferred,
- or made available for use by third parties.
Separate rules for enterprise team accounts remain reserved.
18. Multiple Accounts
RozStock may limit the creation of multiple accounts by the same person or organization.
Multiple accounts opened for fraud, abuse of discounts, circumvention of subscription limits, or similar purposes may be closed.
19. Enterprise Accounts
For enterprise subscriptions, separate access levels may be defined for:
- team members,
- administrators,
- license managers,
- purchasing officers.
The enterprise account holder is also responsible for the activities of team members.
20. Account Suspension
RozStock may temporarily suspend an account in the following circumstances:
- suspicious logins,
- suspected fraud,
- license infringement,
- payment issues,
- security breach,
- copyright complaint,
- court order,
- requests from official authorities,
- breach of this Agreement.
During suspension, access to some or all services may be restricted.
21. Account Closure
RozStock may permanently close an account in the following circumstances:
- serious breach of contract,
- repeated breaches,
- unlawful activity,
- use of false identity,
- repeated copyright infringements,
- payment fraud,
- harm to system security,
- automated data collection activities,
- suspected money laundering or sanctions violations.
Closure of an account does not extinguish legal liabilities that have already arisen.
22. User’s General Obligations
The user agrees to:
- comply with all applicable laws,
- respect the rights of third parties,
- use the Platform in accordance with principles of good faith,
- comply with license terms,
- refrain from endangering RozStock’s security.
23. Authorized Use of the Platform
The Platform may be used only for:
- acquiring licensed content,
- offering licensed content,
- searching for content,
- using subscription services,
- using API services,
- review for educational and research purposes,
- commercial use consistent with the agreements.
24. Prohibited Uses
The user may not engage in the following activities:
- breaching Platform security,
- attempting unauthorized access to systems,
- accessing other users’ accounts,
- uploading malware,
- spreading viruses,
- disrupting the service,
- overloading servers,
- collecting data with robots, bots, or similar automated tools,
- scraping,
- harvesting metadata,
- bulk downloading content,
- using content beyond license limits,
- removing watermarks,
- deleting copyright notices,
- attempting to decompile source code,
- reverse engineering,
- circumventing security measures,
- sharing API keys,
- abusing subscription limits,
- account sharing,
- transacting under another person’s identity,
- creating fake reviews or comments.
25. Fair Use Principle
To ensure that RozStock services can be used fairly by all users, the following may be considered contrary to the fair use principle:
- excessive use,
- automated downloading,
- heavy API traffic,
- activities that abnormally consume system resources,
- commercial sharing of subscriptions,
- bulk data extraction.
RozStock may restrict such activities.
26. Abuse of the Platform
It is prohibited to:
- disrupt the operation of the Platform,
- adversely affect the user experience,
- manipulate algorithms,
- mislead search results,
- influence ranking systems,
- generate fake traffic,
- artificially inflate content popularity.
27. User Responsibility
The user is responsible for all transactions carried out through the Platform.
RozStock is not liable for damages arising from:
- users’ own transactions,
- agreements users make with third parties,
- misinterpretation of licenses,
- user errors.
28. Account Deletion
The user may request closure of their account.
However, the following may prevent immediate deletion:
- outstanding payment obligations,
- ongoing disputes,
- copyright reviews,
- legal retention obligations.
Closure of an account does not affect license rights relating to previously purchased content under the applicable license agreement.
29. Electronic Records
RozStock may retain electronic records as evidence, including:
- login records,
- IP addresses,
- transaction history,
- download records,
- payment records,
- API logs,
- license records,
- system logs.
To the extent permitted by law, these records may constitute evidence in disputes.
30. Good Faith Use
All users of the Platform agree to act in accordance with principles of honesty, good faith, commercial ethics, respect for intellectual property rights, protection of personal data, and fair competition.
31. Protection of Intellectual Property Rights
31.1
All content, software, designs, databases, algorithms, user interfaces, logos, icons, texts, documents, graphics, images, videos, audio recordings, music, illustrations, vectors, 3D models, templates, AI outputs (as applicable to the relevant rights status), metadata, and all other digital elements on the RozStock Platform are protected under national and international intellectual and industrial property laws.
31.2
This protection covers copyright, trademark rights, design rights, database rights, trade secrets, patent rights, and all other intellectual property rights.
31.3
No content on RozStock confers ownership rights on the user unless expressly stated in this Agreement or the applicable License Agreement.
32. Ownership of the Platform
32.1
All intellectual property rights in RozStock Platform’s:
- software,
- source code,
- database,
- user interface,
- search algorithms,
- recommendation systems,
- collection structure,
- category system,
- file organization,
- design language,
- visual identity,
- domain name,
- mobile applications,
- API infrastructure,
- AI infrastructure,
- documentation,
belong to RozStock or the relevant rights holders.
32.2
The user is granted only a limited right of use.
33. Content Ownership
33.1
Copyright in content on the Platform may belong to:
- RozStock,
- the content provider (Contributor),
- the relevant license holder,
- or a third-party rights holder.
33.2
Licensing content through RozStock does not mean that copyright is transferred to the user.
33.3
The user may exercise only the usage rights granted through purchase or under their subscription.
34. Nature of the License
34.1
Licenses provided by RozStock are:
- non-exclusive,
- non-transferable,
- revocable (where warranted),
- subject to specific conditions of use.
34.2
The scope of the license is set out in detail in the applicable License Agreement.
34.3
In case of conflict between these Terms of Use and the License Agreement, the License Agreement prevails.
35. Reserved Rights
All rights not expressly granted in this Agreement are reserved by RozStock and the relevant rights holders.
No provision may be construed as a transfer of:
- ownership,
- trademark,
- copyright,
- patent,
- or trade secret.
36. Preview Files
36.1
Watermarked or low-resolution preview files are provided solely for content review purposes.
36.2
Preview files may not be used:
- for commercial purposes,
- in a publicly accessible manner,
- in advertising work,
- on product packaging,
- in social media campaigns,
- in television broadcasts,
- on digital sales platforms.
36.3
Using preview files in place of licensed content constitutes copyright infringement.
37. Watermarks
37.1
All watermarks used by RozStock are part of the copyright protection system.
37.2
The user may not:
- remove a watermark,
- conceal it,
- alter it,
- blur it,
- attempt to remove it with AI,
- or have it removed by third parties.
37.3
Removing a watermark or attempting to do so may result in immediate termination of the license and initiation of legal proceedings.
38. Metadata
38.1
The following relating to content may be treated as protected by intellectual property:
- titles,
- descriptions,
- keywords,
- EXIF information,
- IPTC data,
- GPS information,
- category information,
- license information.
38.2
Unauthorized bulk copying of metadata may be treated as infringement of database rights.
39. Trademark Rights
39.1
“RozStock,” the RozStock logo, corporate identity elements, slogans, icons, and other distinctive signs are the property of RozStock or the relevant rights holders.
39.2
Without prior written permission, the user may not use:
- the RozStock trademark,
- domain names,
- logos,
- icons,
- slogans.
39.3
The user may not:
- create a similar trademark,
- design a confusingly similar logo,
- register a domain name,
- open a social media account,
- or use them as meta tags.
40. Trademark Infringements
It is prohibited to use the RozStock trademark:
- in a misleading manner,
- to harm its commercial reputation,
- to mislead users,
- to create the impression of sponsorship or partnership.
41. Derivative Works
Except where the applicable license expressly permits, the user may not:
- reproduce content,
- redistribute it,
- create bulk archives,
- relicense it,
- resell it on stock platforms,
- package it as a digital product,
- create an NFT collection,
- or prepare a dataset.
42. Resale of Content
RozStock content may not be sold or distributed, alone or as the principal value of a product, on:
- other stock platforms,
- digital stores,
- content packages,
- subscription services,
- AI datasets.
43. Bulk Download and Archiving
The user may not bulk-download content obtained through a subscription or API for the purpose of:
- creating a permanent digital archive,
- developing a competing platform,
- building a content database,
- automated indexing.
RozStock reserves the right to review and restrict unusual download activity.
44. Data Mining and AI Training
Without RozStock’s express written permission, RozStock content may not be used for:
- machine learning,
- large language models,
- image generation systems,
- audio generation systems,
- data mining,
- AI training,
- embedding generation,
- similarity database development.
This prohibition also applies to licensed content and creates no exception unless the applicable license agreement expressly permits otherwise.
45. Actions Upon Rights Infringement
If RozStock detects a rights infringement, it may:
- suspend the license,
- temporarily suspend the account,
- permanently close the account,
- remove content access,
- cancel download rights,
- seek compensation for damages,
- pursue available civil and criminal remedies.
46. Notice and Cooperation Obligation
The user agrees to notify RozStock without delay if they believe that copyright, trademark, or other intellectual property rights relating to any content on the Platform have been infringed.
Bad-faith, false, or misleading infringement notices may also give rise to legal liability.
47. Survival of Intellectual Property Provisions
The intellectual property, copyright, trademark, and license provisions in this section continue in force, by their nature, after:
- account closure,
- subscription termination,
- expiry of the license term,
- termination of this Agreement.
48. General Use Principle
48.1
All content offered on RozStock may be used only under a valid license.
48.2
The ability to view, search for, or download content on the Platform does not mean that the content is free, public domain, or copyright-free.
48.3
The user agrees to use each item of content solely in accordance with the license rights granted through purchase or under their subscription.
49. Authorized Use
Subject to license terms, the user may use content for:
- Advertising and marketing work
- Websites and mobile applications
- Social media posts
- Digital publications
- Print publications
- Corporate presentations
- Educational materials
- Television and film projects
- Documentary productions
- Corporate promotions
- Other commercial or non-commercial projects permitted by the license
Each use is limited to the scope of the applicable license.
50. Exceeding License Limits
The user may not exceed license conditions such as:
- duration of use,
- field of use,
- distribution quantity,
- media type,
- geographic scope,
- number of persons,
- commercial use limits.
Where the license scope needs to be expanded, an appropriate additional license must be purchased.
51. Prohibited Content Uses
Unless the applicable license expressly permits, the following uses are prohibited:
- Reselling the content
- Relicensing the content
- Uploading the content to a stock platform
- Creating a digital product package
- Registering it as a logo or trademark
- Offering the content for sale on its own
- Marketing it as an NFT or similar digital asset
- Using the content as AI training data
- Using the content in unlawful activities
- Using the content for misleading or deceptive purposes
52. Sensitive Uses
Use of content in the following areas requires special care and may be subject to applicable license or legal provisions:
- Health and medical services
- Legal advice
- Financial investment advice
- Political campaigns
- Election propaganda
- Works representing public institutions
- Religious or sectarian content
- Matters of race, ethnicity, or identity
- Sensitive social events
RozStock may apply additional disclosures, permissions, or restrictions in these areas.
53. Use of Editorial Content
53.1
Content marked as editorial may be used only for news, commentary, documentary, educational, or public-interest purposes.
53.2
Editorial content may not be used in:
- advertising campaigns,
- product promotions,
- brand promotions,
- commercial packaging,
- corporate advertising work;
no exception applies unless the applicable license expressly permits otherwise.
53.3
The user acknowledges that editorial content may depict real events or persons and that additional permissions may be required for commercial use.
54. Premium Content
54.1
Content classified as Premium may be subject to different license conditions, pricing, or usage limits than standard content.
54.2
A license purchased for Premium content covers only the rights stated in the applicable license agreement.
55. AI-Generated Content
55.1
Some content on the Platform may have been created or edited using AI tools.
55.2
Such content may be labeled or classified where appropriate.
55.3
RozStock does not give an absolute warranty as to the accuracy, legal suitability, or fitness for a particular purpose of AI-generated content.
55.4
The user is responsible for assessing suitability for their own project before using such content.
56. Person, Brand, and Property Rights in Content
Some content may depict:
- persons,
- private property,
- artworks,
- architectural structures,
- trademarks,
- logos.
It is the user’s responsibility to assess whether a Model Release, Property Release, or other legal permissions are required for the intended use. Unless expressly warranted under the applicable license, RozStock does not guarantee that such releases are sufficient for every use scenario.
57. Bulk Download and Automation
57.1
The user may not perform bulk downloads from the Platform beyond ordinary use.
57.2
The following activities are prohibited:
- automated download software,
- tools designed to increase download speed,
- content-copying bots,
- bulk downloading via parallel accounts,
- technical methods aimed at exceeding license limits.
If RozStock detects such activities, it may restrict access or suspend the account.
58. Prohibition on Bots, Scraping, and Data Collection
The user may not collect content, metadata, or user information from the Platform using:
- robots,
- bots,
- crawlers,
- scrapers,
- spider software,
- automated indexing systems,
- data-mining tools.
Search-engine indexing activities conducted solely within technical rules permitted by RozStock are excluded from this provision.
59. API Use
59.1
API access may be used only by authorized users under a valid API agreement.
59.2
API keys are confidential and may not be shared with third parties.
59.3
Content and data obtained through the API are also subject to this Agreement and the applicable license terms.
59.4
RozStock may restrict, suspend, or terminate API access for security, performance, or maintenance reasons.
60. Fair Use Principle
60.1
RozStock services must be used fairly and sustainably by all users.
60.2
The following conduct may be considered contrary to the fair use principle:
- unusually intensive downloading,
- attempts to circumvent subscription limits,
- gaining advantage through multiple accounts,
- excessive consumption of API resources,
- operations that adversely affect service performance.
RozStock reserves the right to take necessary technical and administrative measures in such cases.
61. Circumvention of Security Measures
The user may not take any action aimed at circumventing:
- access controls,
- license verification systems,
- firewalls,
- encryption methods,
- digital rights management (DRM) mechanisms.
62. Protection of Content
The user agrees to protect licensed downloaded content with reasonable security measures and to take necessary steps to prevent unauthorized access, sharing, or reproduction.
63. Lawful and Ethical Use
Content may not be used for:
- hate speech,
- discrimination,
- incitement to violence,
- child abuse,
- terrorist propaganda,
- support of unlawful activities,
- infringement of personality rights.
If RozStock detects such uses, it may immediately suspend the account and cooperate with the relevant authorities.
64. Audit and Review Right
RozStock may request information and documents to a reasonable extent to verify compliance with license terms. This right will not be used to compel unnecessary disclosure of users’ trade secrets; however, necessary reviews may be conducted where license infringement is suspected.
65. General Provision
65.1
RozStock may offer its digital content to users under single licenses, credit packs, subscriptions, or other commercial models that may be introduced in the future.
65.2
The user enjoys the applicable usage rights according to the type of service purchased.
65.3
The purchased service covers only the conditions stated at the time of purchase.
66. Service Models
RozStock may offer the following service models:
- Single content purchase
- Credit packs
- Monthly subscription
- Annual subscription
- Enterprise subscription
- API subscription
- Enterprise solutions
- Educational licenses
- Licenses specific to public institutions
- Other subscription models to be developed in the future
RozStock reserves the right to change, remove, or add models.
67. Subscription Commencement
67.1
A subscription begins upon confirmation of payment.
67.2
During the subscription term, the user may exercise the rights stated in their plan.
67.3
Unused rights do not roll over to the next period unless the applicable plan terms state otherwise.
68. Automatic Renewal
68.1
Where automatic renewal is enabled, the subscription may renew at the end of the term by charging the renewal fee to the payment method on file.
68.2
The user may disable automatic renewal through subscription settings in their account or by other methods provided by RozStock.
68.3
Disabling automatic renewal does not affect the current subscription period; it applies only to subsequent periods.
69. Subscription Changes
69.1
Where available, the user may upgrade or downgrade their subscription plan.
69.2
The effective date and billing method for plan changes are communicated to the user at the time of the change.
69.3
RozStock may restrict plan changes for certain subscription types for technical or commercial reasons.
70. Credit Packs
70.1
Credit packs are digital usage rights purchased for licensing certain content.
70.2
Credits are not cash.
70.3
Credits:
- are non-transferable,
- may not be sold,
- may not be pledged,
- may not be exchanged.
70.4
The validity period and conditions of unused credits are stated at the time of purchase.
71. Pricing
71.1
Prices on the Platform may vary according to:
- content type,
- resolution,
- license type,
- subscription plan,
- country,
- currency,
- campaigns.
71.2
RozStock reserves the right to update its prices at any time.
71.3
Price changes do not affect previously completed transactions.
72. Incorrect Pricing
72.1
RozStock reserves the right to cancel orders for products or services listed at a clearly incorrect price due to pricing, technical error, system failure, or human mistake.
72.2
In such a case, the user is informed as soon as reasonably possible, and amounts collected are refunded to the appropriate payment method in accordance with applicable law.
72.3
Transactions intended to exploit obvious pricing errors may be treated as bad-faith use.
73. Taxes and Fiscal Obligations
73.1
The user is responsible, under applicable law, for taxes, duties, and similar fiscal obligations that may apply to purchases.
73.2
Whether tax is included in prices is indicated at the payment stage.
73.3
Tax rules applicable to international sales may be determined in accordance with the laws of the relevant country and RozStock’s tax policy.
74. Payment Methods
RozStock may accept payment via:
- credit card,
- debit card,
- bank transfer,
- electronic money institutions,
- digital wallets,
- online payment systems,
- other authorized payment methods.
Supported methods may change over time.
75. Payment Security
75.1
RozStock may process payments through its own infrastructure or authorized payment service providers.
75.2
The user must exercise due care to protect the security of payment information.
75.3
RozStock aims to work with providers that comply with industry security standards such as PCI DSS, but is not directly responsible for interruptions arising from payment institutions’ own services.
76. Invoicing
76.1
Where applicable, electronic invoices, electronic archive invoices, or other fiscal documents compliant with applicable law may be issued to the user.
76.2
Information provided by the user must be accurate and current for invoices to be issued correctly.
76.3
The user is responsible for consequences arising from incorrectly declared information.
77. Currencies
Different currencies may be used on the Platform.
The currency applied at payment and any exchange conversion may be subject to the practices of the payment service provider or relevant financial institution.
78. Campaigns and Promotions
78.1
RozStock may from time to time run discounts, promotions, coupons, trial memberships, or similar campaigns.
78.2
Campaigns may be time-limited and offered only to specific user groups.
78.3
If campaign abuse is detected, RozStock may cancel the related benefits.
79. Refund Policy
79.1
Given the nature of digital content, refund requests are evaluated to the extent permitted by applicable consumer law and under the conditions stated in the relevant refund policy.
79.2
For licensed digital content or content whose download has begun, the right of refund may be limited to the extent permitted by law.
79.3
In cases of technical error, duplicate charging, or a clear transaction error attributable to RozStock, necessary corrections will be made.
80. Refunds
Refund requests found to be justified are, where possible, returned to the method used for payment or to another method consistent with applicable law.
Refund timing may vary depending on payment institutions’ processing times.
81. Payment Disputes and Chargebacks
81.1
If the user encounters a payment issue, they agree to contact RozStock customer support first.
81.2
Unjustified or bad-faith chargeback attempts may result in temporary suspension or closure of the account.
81.3
RozStock reserves the right to seek recovery of damages arising from unjustified chargebacks.
82. Suspension of Service
If payment obligations are not met, fraud is suspected, or adverse notices are received from a payment provider, RozStock may temporarily suspend the related service.
83. Right to Commercial Changes
RozStock reserves the right, upon reasonable prior notice, to change:
- subscription plans,
- the credit system,
- the pricing model,
- license packages,
- payment methods,
- campaign conditions.
84. Nature of the Service
84.1
RozStock aims to provide the Platform and its services securely, continuously, and efficiently within technological capabilities.
84.2
However, given the nature of the internet, interruptions, delays, maintenance work, or technical failures may occur from time to time.
84.3
To the extent permitted by applicable law, RozStock provides its services “as is” and “as available.”
85. Service Continuity
RozStock does not warrant that:
- the Platform will operate without interruption,
- it will always be accessible,
- it will be fully compatible with all devices,
- it will be usable in all countries,
- it will always operate without error.
However, it endeavors to ensure service continuity with reasonable technical care.
86. Scheduled Maintenance
RozStock may temporarily suspend the service for:
- maintenance,
- security updates,
- infrastructure changes,
- performance improvements.
Where possible, maintenance work is announced in advance.
87. Beta Services
87.1
RozStock may offer beta, preview, or experimental services.
87.2
Because beta services are under development, they may contain:
- errors,
- omissions,
- performance issues,
- data loss,
- incompatibilities.
87.3
The user uses beta services at their own discretion and risk.
88. Third-Party Services
The Platform may integrate with third-party services such as:
- payment institutions,
- cloud services,
- analytics tools,
- map services,
- email services,
- CDN providers,
- authentication services.
RozStock is not directly responsible for interruptions arising from these third parties’ own systems.
89. Third-Party Links
89.1
The Platform may contain links to third-party websites or services.
89.2
Such links are provided solely for convenience.
89.3
RozStock does not control or warrant:
- the content of third-party sites,
- their security,
- their privacy practices,
- their products and services.
Use of third-party sites is entirely at the user’s risk.
90. Software and Computer Viruses
RozStock applies reasonable technical measures to secure the Platform.
Nevertheless, the following may not be entirely preventable:
- malware,
- viruses,
- ransomware,
- cyberattacks,
- technical issues arising from internet infrastructure.
The user is responsible for using up-to-date security software.
91. Accuracy of Content
RozStock makes reasonable efforts to keep information and content on the Platform accurate and current.
However, the following do not carry an absolute accuracy warranty:
- descriptions,
- keywords,
- categories,
- technical information,
- translations,
- automated tagging.
The user is obliged to perform the checks necessary for their own intended use.
92. AI Services
92.1
AI-assisted tools offered by RozStock operate using automated systems.
92.2
These systems may produce outputs that are:
- incorrect,
- incomplete,
- similar,
- unexpected,
- unsuitable.
92.3
Evaluating the legal, technical, or commercial suitability of AI outputs is the user’s responsibility.
93. Disclaimer of Warranties
To the extent permitted by applicable law, RozStock gives no warranty on matters it has not expressly undertaken regarding:
- fitness for a particular purpose,
- merchantability,
- uninterrupted service,
- absolute accuracy,
- continuous accessibility.
This provision may not be construed so as to eliminate consumer rights that cannot lawfully be limited.
94. User Liability
The user is solely responsible for:
- acting in accordance with license terms,
- using content correctly,
- complying with applicable law,
- not infringing third-party rights.
95. Limitation of Liability
To the extent permitted by applicable law, RozStock shall not be liable for consequential damages such as:
- indirect damages,
- loss of profit,
- loss of reputation,
- data loss,
- loss of business opportunity,
- loss of production,
- loss of expected earnings,
- indirect damages arising from service interruption.
This provision does not eliminate liability arising from RozStock’s willful misconduct or gross negligence, or mandatory rules of law.
96. Maximum Liability
Unless otherwise required by law, RozStock’s total liability to the user is limited to the amount the user actually paid to RozStock for the service that is the subject of the dispute.
This limitation applies to the extent permitted by mandatory rules of law.
97. Indemnification
The user agrees, within the framework of applicable law, to indemnify RozStock for direct damages and reasonable litigation costs arising from:
- breach of this Agreement,
- breach of licenses,
- infringement of third-party rights,
- unlawful use.
98. Force Majeure
RozStock shall not be liable for delay or impossibility of performance arising from force majeure events beyond its control, including:
- natural disasters,
- war,
- acts of terrorism,
- epidemics,
- strikes,
- power outages,
- internet infrastructure failures,
- cyberattacks,
- decisions of public authorities,
- international sanctions.
99. Suspension of Service
RozStock may temporarily suspend all or part of the service for reasons such as:
- security risk,
- maintenance work,
- legal requirement,
- system update,
- detection of abuse.
100. Mitigation of Damages
The parties agree to take reasonable measures to prevent any damages from escalating.
The user is obliged to notify RozStock of any potential issue without delay.
101. Reservation of Rights
RozStock’s failure to exercise any right immediately does not constitute a waiver of that right.
102. Respect for Intellectual Property Rights
102.1
RozStock respects copyright, trademark rights, and other intellectual property rights and expects the same care from its users.
102.2
No service offered through the Platform may be used in a manner that infringes third-party intellectual property rights.
103. Copyright Infringement Notice
103.1
A rights holder who believes that any content on the Platform infringes their intellectual property rights may submit a written notice to RozStock.
103.2
The notice should, to the extent possible, include:
- the name of the rights holder or their representative,
- the right alleged to have been infringed,
- a link to or identification of the relevant content,
- a description of the infringement,
- contact information,
- a statement that the information is accurate.
103.3
Incomplete or clearly unfounded submissions may be processed upon request for additional information.
104. Review Process
RozStock evaluates infringement notices it receives within a reasonable time.
Where deemed necessary:
- content may be temporarily made inaccessible,
- an explanation may be requested from the user,
- additional documents may be requested,
- the relevant parties may be contacted.
105. Counter-Notice
A user whose content has been removed or whose access has been restricted may submit a counter-notice if they believe the action was taken in error.
The counter-notice must include reasonable information and supporting documents.
RozStock evaluates the counter-notice in accordance with applicable legal processes and law.
106. Repeat Infringers
Accounts of users found to have continuously or seriously infringed intellectual property rights may be temporarily suspended or permanently closed.
RozStock evaluates the nature and frequency of the infringement and the user’s conduct.
107. Removal of Content
RozStock may remove content or make it inaccessible for reasons such as:
- court order,
- request from official authorities,
- clear rights infringement,
- legal requirement,
- Platform security.
108. Cooperation with Official Authorities
RozStock may comply with lawful requests from competent public institutions and authorities under applicable law.
In this context, necessary information and documents may be shared, taking into account personal data protection legislation.
109. Termination of Account
RozStock may permanently terminate a user account in the following cases:
- Serious breach of this Agreement,
- Repeated license infringements,
- Forgery,
- Fraud,
- Unlawful activity,
- Abuse of payment systems,
- Attacks on Platform security,
- Court order or legal requirement.
110. Termination by the User
The user may request closure of their account at any time.
However, the following may affect the consequences of termination:
- ongoing legal proceedings,
- unpaid debts,
- open investigations,
- statutory retention obligations.
111. Consequences of Termination
Termination of an account does not extinguish:
- obligations already arisen,
- copyright matters,
- license infringements,
- payment obligations,
- indemnification claims.
112. Electronic Records
To the extent permitted by applicable law, the following generated on the Platform may be used as evidence:
- transaction records,
- license records,
- download records,
- access logs,
- payment records,
- electronic acceptances.
113. Notices
Notices by RozStock may be given through:
- the registered email address,
- the user panel,
- Platform announcements,
- other electronic communication methods.
The user is responsible for keeping contact information current.
114. Assignability
The user may not assign rights and obligations arising from this Agreement to third parties without RozStock’s written consent.
RozStock may assign this Agreement in accordance with applicable law in cases of restructuring, merger, demerger, or transfer of business.
115. No Waiver
RozStock’s failure to exercise any right, or delayed exercise of any right, does not constitute a waiver of that right.
116. Severability
If any provision of this Agreement is held invalid or unenforceable, the validity of the remaining provisions is not affected.
An invalid provision is interpreted or applied in accordance with the legal arrangement closest to the parties’ intent.
117. Entire Agreement
These Terms of Use, together with:
- the License Agreement,
- the Privacy Policy,
- the Cookie Policy,
- the KVKK Disclosure Notice,
- the DMCA and Copyright Policy,
- the Subscription Policy,
- the API Terms of Use,
constitute the entire agreement between the parties.
118. Governing Law
Subject to mandatory rules of law to the contrary, this Agreement is governed by the laws of the Republic of Türkiye.
For international users, mandatory consumer protection provisions and other mandatory rules that must apply remain reserved.
119. Dispute Resolution
The parties will first endeavor to resolve any disputes through good-faith negotiation.
If resolution cannot be reached, disputes shall be resolved before the competent court or through alternative dispute resolution mechanisms under applicable law.
120. Language
This Agreement has been prepared in Turkish.
Translations into other languages may be published.
Translations are for informational purposes only.
In case of conflict, unless otherwise stated, the Turkish text prevails.
121. Updates
RozStock may update this Agreement from time to time.
Material changes are announced on the Platform with stated effective dates.
Continued use of the Platform by the user after an update means that the changes have been accepted.
