Contributor Agreement

Effective Date: July 28, 2026

This RozStock Contributor Agreement (“Agreement”) is entered into between RozStock Digital Content Platform, headquartered in Diyarbakır, Türkiye (“RozStock”), and the natural or legal person who uploads content to the RozStock platform (“Content Provider”, “Contributor”).

Every Contributor who creates an account with RozStock, uploads content, or offers content for sale is deemed to have read, understood, and accepted this Agreement.

1. Definitions

In this Agreement:

RozStock

Refers to the digital content licensing and sales platform headquartered in Diyarbakır, Türkiye.

Contributor / Content Provider

Refers to the natural or legal person who uploads content to the RozStock platform.

Content

Refers to photographs, premium photographs, videos, premium videos, drone footage, editorial photographs, editorial videos, illustrations, vectors, PSD files, graphic designs, graphic templates, video templates, LUTs, motion graphics, audio recordings, music, sound effects, and all similar digital content.

AI Content

Refers to content created wholly or in part using artificial intelligence systems.

Editorial Content

Refers to content that may be used only for news, journalism, education, documentary, or public-interest purposes.

Premium Content

Refers to content classified by RozStock as part of a special collection and priced differently from standard content.

Model Release

Refers to a written consent document showing that identifiable persons have authorized commercial use.

Property Release

Refers to a consent document relating to the use of private property, artworks, or protected structures.

Licensee

Refers to the person or organization that purchases or licenses content through RozStock.

Standard License

Refers to the license type that includes RozStock’s standard usage rights.

Extended License

Refers to the license type that provides additional usage rights beyond the Standard License.

Enterprise License

Refers to the license type arranged specifically for enterprise customers.

2. Contributor Eligibility

The Contributor represents and warrants that they:

  • Are at least 18 years of age,
  • Have the legal capacity to enter into transactions,
  • Have provided accurate information,
  • Are acting on their own behalf or as an authorized representative.

3. Account Security

The Contributor is responsible for:

  • The confidentiality of account information,
  • Password security,
  • Transactions carried out through their account.

RozStock may temporarily suspend an account if there is reasonable suspicion that account security has been compromised.

4. Content Ownership

The Contributor warrants that for every item of Content uploaded to RozStock, they:

  • Hold the copyright,
  • Have obtained the necessary licenses and permissions,
  • Do not infringe the rights of third parties.

5. License Granted to RozStock

For Content uploaded to RozStock, the Contributor grants RozStock a license that is:

  • Valid worldwide,
  • Non-exclusive,
  • Sublicensable,
  • Marketable,
  • Reproducible,
  • Displayable,
  • Distributable.

This license is granted so that RozStock may market, license, and sell the Content.

Copyright in the Content remains with the Contributor.

6. Promotional Use Authorization

The Contributor agrees that RozStock may use the Content for the following purposes:

  • Homepage showcases,
  • Advertising campaigns,
  • Social media posts,
  • Blog content,
  • Press releases,
  • Educational and promotional materials.

This use does not require separate payment to the Contributor.

7. Model Release

The Contributor warrants that they hold valid Model Release documents for commercial content featuring identifiable persons.

RozStock may request these documents when it deems necessary.

8. Property Release

The Contributor agrees that they have obtained the necessary permissions relating to private property, private interiors, artworks, protected structures, or areas where commercial use is restricted.

9. Standard Content

Standard content is offered for sale subject to RozStock’s general licensing system.

10. Premium Content

RozStock may classify certain content as Premium.

Different pricing and revenue sharing may apply to Premium content.

11. Editorial Content

Editorial content may be used only for:

  • News,
  • Journalism,
  • Documentary,
  • Education.

The Contributor warrants that editorial content is truthful and has not been misleadingly altered.

12. Artificial Intelligence Content

The Contributor must correctly tag:

  • Content generated by artificial intelligence,
  • Content edited with artificial intelligence assistance.

Deepfakes, identity impersonation, or AI content that infringes third-party rights is prohibited.

13. Content Review Right

RozStock has the right to review all uploaded content.

14. Rejection Reasons

RozStock may reject content in the following circumstances:

  • Low technical quality,
  • Blur,
  • Noise,
  • Insufficient resolution,
  • Duplicate content,
  • Copyright risk,
  • Trademark infringement,
  • Incorrect keywords,
  • Spam content.

15. Removal After Approval

Previously approved content may be removed later in the following circumstances:

  • Copyright suspicion,
  • Rights infringement notice,
  • Court order,
  • Use of forged documents,
  • Violation of platform policies.

RozStock reserves the right of final determination in this regard.

16. Licensing Authority

The Contributor authorizes RozStock to market and license uploaded content under the following license types:

  • Standard License,
  • Extended License,
  • Premium License,
  • Editorial License,
  • Enterprise License,
  • Subscription License,
  • API and bulk licensing models,
  • Other license types that RozStock may establish in the future.

RozStock may license content through individual sales, subscription systems, or special enterprise agreements.

17. Revenue Sharing

RozStock shares revenue from licensed content with Contributors.

Revenue sharing rates are determined through the Contributor Panel, Earnings Policy, or a separate announcement.

RozStock may apply different rates for the following sale types:

  • Standard Licenses,
  • Extended Licenses,
  • Premium Content,
  • Editorial Content,
  • Enterprise Licenses,
  • Subscription Downloads,
  • Promotional Sales.

18. Net Revenue

Contributor earnings are calculated on the basis of net revenue.

The following items may be deducted from net revenue:

  • VAT and similar indirect taxes,
  • Payment processor commissions,
  • Bank charges,
  • Refunds,
  • Chargeback transactions,
  • Promotional discounts,
  • Legal withholdings.

19. Subscription Sales

For downloads under subscription plans, revenue sharing is calculated according to the subscription distribution model determined by RozStock.

The Contributor accepts that subscription sales may have a different revenue structure than individual sale prices.

20. Payment Threshold

Payments are made when the Contributor account reaches the minimum payment limit.

Unless otherwise stated, the minimum payment amount is:

50 USD or the equivalent in another currency.

RozStock reserves the right to change this limit.

21. Payment Schedule

Finalized earnings are processed in monthly payment periods.

RozStock reserves the right to update payment dates.

22. Payment Methods

Payments may be made through the following methods:

  • EFT,
  • Wire transfer,
  • SWIFT,
  • Wise,
  • Payoneer,
  • Stripe Connect,
  • Other supported payment providers.

23. Tax Responsibility

The Contributor is solely responsible for all tax obligations, including:

  • Income tax,
  • Corporate tax,
  • VAT,
  • Withholding tax,
  • Social security obligations.

24. Tax Documents

When RozStock deems necessary, it may request the following documents from the Contributor:

  • Tax Identification Number,
  • National ID Number,
  • Tax Certificate,
  • Company Documents,
  • Certificate of Residence,
  • W-8BEN,
  • W-8BEN-E,
  • W-9,
  • Similar official documents.

Payments may be suspended if the documents are not provided.

25. Refunds and Chargebacks

Contributor earnings may be reversed in the following circumstances:

  • Customer refund,
  • Chargeback transactions,
  • Fraud detection,
  • License cancellation,
  • Detection of unlawful use.

If the balance is insufficient, the Contributor agrees to pay the resulting debt to RozStock.

26. Premium Contributor Program

RozStock may include certain Contributors in the Premium Contributor program.

Premium Contributors may receive the following benefits:

  • Higher commission rates,
  • Special campaigns,
  • Priority review,
  • Premium visibility.

27. Exclusive Contributor Program

The Contributor may choose to license certain content exclusively through RozStock.

Content marked as Exclusive may not be sold on other stock platforms.

28. Exclusive Violation

If it is determined that Exclusive content is offered for sale on other platforms, RozStock may:

  • Remove Exclusive status,
  • Reclaim additional payments,
  • Suspend the account,
  • Terminate the account.

29. Rights Infringement Notifications

RozStock has the right to evaluate complaints relating to copyright, trademark rights, personality rights, or other intellectual property rights.

30. Temporary Content Removal

Content may be temporarily removed in the following circumstances:

  • Copyright suspicion,
  • Trademark infringement,
  • Court order,
  • Request from an official authority,
  • Use of forged documents.

31. Repeated Violations

Accounts of Contributors who commit repeated violations may be permanently closed.

32. Manipulation Prohibition

The Contributor may not engage in the following activities:

  • Purchasing their own content,
  • Creating artificial sales,
  • Using bots,
  • Opening fake accounts,
  • Manipulating downloads.

33. Prohibited Content

The following content may not be uploaded:

  • Works that infringe copyright,
  • Deepfake content,
  • Terrorist propaganda,
  • Hate speech,
  • Child abuse content,
  • Content promoting illegal activities,
  • Unlawful pornographic content.

34. KVKK and Data Protection

RozStock processes personal data in accordance with:

  • Turkish Personal Data Protection Law No. 6698 (KVKK),
  • Relevant Turkish legislation,
  • GDPR, to the extent applicable.

35. Data Retention

RozStock may retain the following records for the period required by applicable legislation:

  • Sales records,
  • License records,
  • Payment records,
  • Upload records.

36. Contributor Indemnification

The Contributor agrees to defend RozStock and compensate its losses in the following circumstances:

  • Copyright infringement,
  • Trademark infringement,
  • Personality rights infringement,
  • Missing Model Release,
  • Missing Property Release,
  • False representations.

37. Limitation of RozStock Liability

RozStock does not guarantee:

  • A specific sales volume,
  • A specific revenue level,
  • Visibility,
  • Search ranking.

RozStock may not be held liable for indirect damages, loss of profit, or loss of reputation.

38. Account Suspension

RozStock may suspend an account in the following circumstances:

  • Use of forged documents,
  • Copyright infringement,
  • Suspected fraud,
  • Security risk,
  • Breach of this Agreement.

39. Account Termination

RozStock may permanently close an account in cases of serious violation.

40. Protection of Sold Licenses

Even if the Contributor closes their account or removes their content, previously sold licenses remain valid.

41. Electronic Records

RozStock’s electronic records constitute evidence between the parties.

42. Force Majeure

The parties may not be held liable for failure to perform obligations due to force majeure events such as war, natural disaster, epidemic, cyberattack, infrastructure failure, and similar circumstances.

43. Agreement Amendments

RozStock reserves the right to update this Agreement.

Updated provisions take effect on the date they are published.

44. Governing Law

This Agreement is governed by the laws of the Republic of Türkiye.

45. Jurisdiction

The parties will first seek to resolve disputes amicably.

If no resolution is reached, the courts and enforcement offices of Diyarbakır shall have jurisdiction.

46. Effectiveness

By creating an account, uploading content, or offering content for sale, the Contributor is deemed to have accepted this Agreement in its entirety.
